Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between the user and VARENO CO., LTD. — operating under the brand VarenoAI (“we”, “us”, or “our”) — regarding access to and use of the VarenoAI website (https://varenoai.com) and the AI products and platforms in the VarenoAI ecosystem (including but not limited to ChatVareno, ContentAI, and related services, collectively the “Service”).

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility and Account

1.1. Registration: To use certain features, you must register an account and agree to provide accurate, current, and complete information during registration.

1.2. Responsibility: You are responsible for safeguarding your password and for all activity under your account. You must notify us immediately of any unauthorized use.

1.3. Business use: If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Service and Subscription Plans

2.1. Service: We provide an AI product ecosystem for Vietnamese businesses, including solutions for sales, customer support, content production, and automation (for example ChatVareno and ContentAI). Some products allow users to upload data (PDF, text, websites) to create custom AI assistants.

2.2. Plans: We offer Free, Standard, Premium, and Business plans depending on each product. Each plan has specific limits on usage, features, and included support.

2.3. Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without prior notice.

3. Payment and Fees

3.1. Fees: You agree to pay the fees for your selected plan. All fees are non-refundable unless otherwise required by law.

3.2. Recurring billing: Paid subscriptions are billed in advance on a monthly or annual cycle and auto-renew unless you cancel.

3.3. Taxes: You are responsible for all applicable taxes related to use of the Service.

4. User Content and Data

4.1. Ownership: You retain full ownership of data, materials, and content you upload.

4.2. License to us: You grant us a non-exclusive, worldwide, royalty-free license to store and process your Content solely to provide the Service.

4.3. Accuracy of data: You are solely responsible for the accuracy and legality of content you provide.

4.4. AI training policy: We do not use your content to train base AI models for other users. This data is used exclusively for the customer’s own workspace and product environment (for example an AI Agent), via RAG (Retrieval-Augmented Generation) where applicable.

5. Acceptable Use

You agree not to use the Service to:

• Create or distribute illegal, harmful, or discriminatory content.
• Infringe others’ intellectual property rights.
• Attempt to reverse engineer, decompile, or extract the source code of the Service.
• Use any automated system (bots, scrapers) to access the Service beyond normal permitted use.
• Bypass any security measures or access levels of the system.

6. Intellectual Property

All rights, title, and interest in the Service (excluding user content) are and remain our exclusive property. Names, logos, and brand assets of VarenoAI and products in the ecosystem (including ChatVareno and ContentAI) are trademarks owned by us and may not be used without prior written permission.

7. Limitation of Liability

7.1. As is: The Service is provided “as is”. We do not guarantee the absolute accuracy of AI-generated responses.

7.2. Liability cap: To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or special damages. Our total liability for any claim will not exceed the amount you paid in the 12 months preceding the claim.

8. Termination

8.1. By you: You may cancel your subscription and delete your account at any time via the admin dashboard or the support channel we designate.

8.2. By us: We may suspend or terminate access if you violate these Terms, fail to pay fees, or if your use poses a security risk to the Service.

9. Privacy

Use of the Service is also governed by our Privacy Policy , which explains how we collect, use, and protect users’ personal information.

10. Governing Law

These Terms are governed by and construed under the laws of the Socialist Republic of Vietnam. Any disputes will be resolved by courts of competent jurisdiction in Vietnam.

11. Changes to the Terms

We may update these Terms from time to time. For material changes, we will notify users by email or via a website notice. Continued use of the Service means you accept the updated Terms.
